Too, Inc. Names William E. May Executive Vice President - Chief Operating Officer

NEW ALBANY, Ohio ¨ (BUSINESS WIRE) : Feb. 19, 2004 ¨ Michael Rayden, Chairman, President and CEO of Too, Inc. (NYSE:TOO), today announced the appointment of William E. May to the position of Executive Vice President – Chief Operating Officer of Too, Inc. Mr. May will be responsible for all of Too, Inc.’s Human Resources, Real Estate, Information Technology, Logistics, and Finance activities.

Kent A. Kleeberger has relinquished his role as Chief Operating Officer for Too, but is retaining his position as Executive Vice President – Chief Financial Officer, Secretary and Treasurer, reporting to Mr. May. Mr. Kleeberger initiated the request for a reduced responsibility to allow more time for him to devote to pressing family issues.

William May, 55, was president and chief executive officer of Wholesale for Fleming Companies, Inc. He joined Fleming from Gap, Inc., where he was vice president of Gap Global Distribution. He was also vice president of Gap’s Old Navy Distribution. Mr. May’s professional experience has been predominately in the wholesale food distribution business, including positions as executive vice president and chief operating officer, chief financial officer, senior vice president of operations, management information systems, corporate finance, marketing, and customer service. He has held leadership positions with Certified Grocers, Spartan Stores, Inc., and Nash Finch Company.

Mr. May earned a BBA in finance from the University of Wisconsin – Whitewater.
